Subscription Agreement
This Subscription Agreement (“Agreement”) is between Engineware.io Pty Ltd (ABN 14 604 376 927), located at 5 Jordan Road, Wahroonga NSW 2076, Australia (“Salesbooth”, “we”, “us”, “our”) and the customer (“Customer”, “you”). It governs your purchase and use of paid subscriptions to the Salesbooth platform.
1. Relationship to Other Terms
This Agreement incorporates and supplements the Terms of Use and the Privacy Policy. In the event of conflict, this Agreement prevails for commercial subscription matters.
2. Subscription Plans
Salesbooth is offered on a subscription basis via one or more plans (for example: Starter, Growth, Pro, Enterprise). The features and limits of each plan are described on our website and may be updated from time to time.
3. Term & Renewal
Subscriptions are billed either monthly or annually, depending on your selection at the time of purchase. Unless cancelled in accordance with this Agreement, your subscription automatically renews at the end of each billing period.
4. Fees & Payment
- All subscription fees are payable in Australian Dollars (AUD) unless otherwise stated.
- You authorise us (and our payment processors) to charge your nominated payment method on a recurring basis.
- You are responsible for any applicable taxes, duties, or charges imposed by government authorities.
- Failure to pay may result in suspension or termination of your access to Salesbooth.
5. Upgrades & Downgrades
You may upgrade your subscription to a higher plan at any time; additional fees may be prorated for the remaining term. Downgrades may take effect at the end of the current billing cycle and may result in reduced features or limits.
6. Cancellations
You may cancel your subscription at any time via your account settings. Cancellation prevents automatic renewal but does not automatically entitle you to a refund, subject to our Refund Policy and Australian Consumer Law.
7. Use of the Service
You must use the Service in accordance with the Acceptable Use Policy and all applicable laws. You are responsible for the actions of any users you invite to your account.
8. Data & Privacy
Our handling of personal information is governed by our Privacy Policy. Where we process personal data on your behalf as a processor, our Data Processing Addendum (DPA) applies.
9. Service Levels
Our service availability, support response times, and any service credits are described in our Service Level Agreement (SLA).
10. Limitation of Liability
To the fullest extent permitted by law and consistent with our Terms of Use, the total aggregate liability of Salesbooth arising out of or relating to this Agreement, the subscription, or your use of the Service shall not exceed $100 AUD.
11. Governing Law
This Agreement is governed by the laws of the State of New South Wales, Australia. You submit to the exclusive jurisdiction of the courts of New South Wales.
